SSR Mining to Acquire Roxmore Resources and Converse Gold Project for $712 Million SSR Mining Inc. will purchase Roxmore Resources and its Converse gold project in Nevada, adding a high‑quality gold asset to its Marigold operation. The deal includes cash and shares in a new exploration company. VANCOUVER - SSR Mining Inc. has signed a deal to acquire Roxmore Resources Inc. and its Converse gold project in Nevada in a transaction worth a total of $712 million. SSR executive chair Rod Antal says the deal represents a compelling opportunity to add a high-quality multi-million-ounce gold resource next door to its Marigold mine at an attractive valuation. The Converse project is located six kilometres west of SSR Mining's Marigold complex, making it a natural extension of the company's existing assets. By adding Converse, SSR will have a larger contiguous area to develop, potentially increasing its ore reserve estimates and extending its mine life.Roxmore shareholders receive cash and new equityFor each share they hold, Roxmore shareholders will receive $6.75 in cash plus 0.33 of a share in a new gold exploration company that will hold Roxmore's Rattlesnake Hills project, Shabu River project and Newton property. The new company, which will be led by members of Roxmore's current management, will be funded with US$10 million in cash and will be owned 85.01 per cent by former Roxmore shareholders and 14.99 per cent by SSR Mining.Roxmore's share price closed at $5.32 on the Toronto Stock Exchange on Friday, which implies a total cash consideration of approximately $808 million, but the combination of cash and equity brings the overall transaction value down to $712 million. This structure provides a balanced mix of immediate liquidity for existing shareholders and a stake in a future growth vehicle.SSR noted that the acquisition would add significant proven and probable gold reserves to its portfolio, boosting the company's gold asset base and enhancing shareholder value. The company's CEO, Tim Brahe, emphasized that the addition of Converse aligns with SSR's long-term strategy of expanding its gold footprint in Nevada and improving operational efficiencies through geographic consolidation. Gold prices remain near all‑time highs, keeping the timing of the deal advantageous for both companies.Analysts predict higher gold production volumesAnalysts expect that the combined entity could see its gold production volumes rise by several hundred thousand ounces annually once the Converse project reaches full production capacity. The deal will be announced in a public filing with the Canadian Securities Administrators later this month."This acquisition strengthens our position as a leading gold producer in North America," Antal said. "The newly formed exploration company will focus on unlocking the full potential of the Rattlesnake Hills, Shabu River, and Newton properties, while SSR continues to expand the Marigold mine, creating a synergetic platform for future growth.
