Faraday Future Intelligent Electric Inc. has received $45 million in financing from a U.S. institutional investor, bolstering its Embodied AI (EAI) ecosystem strategy and the development of its EAI robotics business and FX Super One vehicle.

Strategic Investment for EAI Growth

The Los Angeles-based company, a pioneer in the global Embodied AI (EAI) ecosystem, received the full funding amount immediately upon agreement. This capital injection is intended to accelerate the company’s EAI strategy and the rollout of the FX Super One vehicle.

Favorable Financing Terms

The investor’s commitment signifies a desire for a long-term strategic partnership with Faraday Future. The financing structure is designed to minimize dilution for existing shareholders, representing what YT Jia, founder and global co-CEO of Faraday Future, called the company’s most advantageous financing deal in recent years.

Shareholder Protection & Phased Funding

The investment includes a six-month non-redemption period, preventing the investor from requesting repayment or conversion to equity before that timeframe. Any subsequent redemption will be based on the market price, not the current stock price.

Share Reservation & Market Valuation

To facilitate this, Faraday Future intends to reserve approximately 120 million shares, subject to shareholder approval at the 2026 Annual Meeting of Stockholders. These shares will remain unissued for the initial six months, and the final number issued will depend on the prevailing market price.

Capital Allocation & Strategic Objectives

$15 million is immediately available to drive the FF EAI Strategy. The remaining $30 million will be released in installments upon achieving specific milestones.

Funding EAI Robotics & FX Super One

This phased approach will support research and development, prototyping, and initial production preparations for the EAI robotics business. It will also accelerate the phased delivery of the FX Super One vehicle.
